Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Spheres Network LLC ("Company," "we," "us," or "our") concerning your access to and use of our website and telecommunications services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Services Description

Spheres Network LLC provides enterprise telecommunications solutions including, but not limited to:

  • Voice services (VoIP, SIP trunking, unified communications)
  • Internet and data connectivity solutions
  • Cloud and hosted infrastructure services
  • Network security services
  • Managed telecommunications services

Specific terms and conditions for each service are outlined in individual Service Agreements provided upon subscription.

User Accounts and Registration

To access certain features of our services, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, fraudulent, or illegal content
  • Engage in unauthorized access to systems or networks
  • Distribute malware, viruses, or other malicious code
  • Conduct activities that disrupt or interfere with our services
  • Send unsolicited communications (spam) or engage in phishing
  • Infringe upon intellectual property rights
  • Harass, abuse, or harm other users

Payment Terms

If you purchase services from us:

  • You agree to pay all fees and charges associated with your account
  • Payment is due according to the billing schedule outlined in your Service Agreement
  • We reserve the right to suspend or terminate services for non-payment
  • All fees are non-refundable unless otherwise stated in your Service Agreement
  • We may change our fees with 30 days' advance notice

Service Level Agreement (SLA)

We strive to maintain high availability and reliability of our services:

  • We guarantee 99.9% uptime for our core telecommunications services
  • Scheduled maintenance will be communicated in advance
  • Support is available 24/7 for critical issues
  • Specific SLA terms are detailed in individual Service Agreements

Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and technology, are owned by Spheres Network LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of business. This obligation continues even after termination of services.

Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
  • We are not responsible for third-party services or content

Indemnification

You agree to indemnify and hold harmless Spheres Network LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.

Termination

We reserve the right to suspend or terminate your access to our services:

  • For violation of these Terms or our Acceptable Use Policy
  • For non-payment of fees
  • If required by law or regulatory authority
  • At our discretion with or without notice

You may terminate your account at any time by providing written notice according to your Service Agreement terms.

Dispute Resolution

Any disputes arising from these Terms or our services shall be:

  • First attempted to be resolved through good faith negotiations
  • If unresolved, submitted to binding arbitration
  • Governed by the laws of the State where our principal office is located
  • Subject to the exclusive jurisdiction of courts in that state

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
